RUBICON TRAIL FOUNDATION: BYLAWS


The bylaws were adopted by the Board of Directors and Officers and the November 23, 2004 Board meeting in Pollock Pines, CA.

Highlights of the Bylaws:

1.  There will be at least quarterly meetings to conduct business of the Foundation. Meetings will be held in Eldorado County where feasible, with Sacramento as an additional location.

2. Thirteen Board members will be the total Board, representing all aspects of the Rubicon Trail.

3.  Normal meeting and business practices will guide the conduct of meetings and discussions.

4. Robert's Rules of Order accompanied by professional faciltiation will be how business is conducted.

5. The Corporate Headquarters will be in Calaveras County, CA, where the President of the Corporation resides and maintains the Corporate records until changed by motion of the Board of Directors.

6. Banking will be done through the Auburn Community Bank until changed by motion of the Board of Directors.
